Terms and Conditions

1. Definitions
- Provider: Emilia Projects BV, registered in Wijchen, Chamber of Commerce number 89067959.
- Client: the sports club or organisation using the Service.
- Service: the Rondo environment hosted by the Provider, including Rondo Club (member administration) and Rondo Sync (data synchronisation).
- Agreement: the arrangements between Provider and Client regarding the use of the Service, to which these terms apply.
- Data: all data that the Client enters, uploads or synchronises via the Service.
2. Applicability
These terms and conditions apply to all offers, agreements and services of the Provider. By using the Service, you agree to these terms.
3. The Service
Rondo is a member administration system for sports clubs. The Service includes:
- Hosting and management of a Rondo Club environment for the Client.
- Synchronisation of member data from Sportlink Club via Rondo Sync.
- Integrations with external services such as Laposta (email marketing) and FreeScout (helpdesk), if configured by the Client.
The source code of Rondo is open source and available via GitHub. These terms relate to the hosted Service, not to self-hosting the software.
4. Pricing and payment
The Service costs €250 per year (base amount) plus €0.50 per member per year. All stated amounts are exclusive of VAT.
Invoicing takes place annually in advance. Payment is due within 14 days of the invoice date. The number of members is determined based on the number of active members in the Rondo environment. The reference date for this is 1 September, or, if the Client becomes a customer after 1 September, the date the contract is signed.
5. Term and termination
The Agreement always runs until 1 August and is tacitly renewed until the next 1 August, unless one of the parties terminates the Agreement in writing no later than 1 month before the end of the current period. For a start date after 1 August, the first year is invoiced pro rata.
After termination, the Client has 30 days to export all Data. After this period, the environment and all associated Data will be deleted.
6. Data and ownership
All Data that the Client enters or synchronises via the Service remains the property of the Client. The Provider will never use Data for its own purposes or provide it to third parties, except where necessary for delivering the Service.
The Client may request a full export of all Data at any time.
7. Availability
The Provider aims for a Service availability of 99% on an annual basis, excluding planned maintenance. Planned maintenance is announced in advance where possible.
The Provider is not liable for interruptions resulting from circumstances beyond its control, such as outages at hosting providers, internet providers or force majeure.
8. Liability
The Provider is only liable for direct damages resulting from an attributable failure in the performance of the Agreement. Total liability is limited to the amount the Client has paid to the Provider in the 12 months preceding the event causing the damage.
The Provider is not liable for indirect damages, including consequential damages, lost profits or loss of data.
9. Privacy and security
The processing of personal data takes place in accordance with our privacy policy. For the processing of member data, the Provider and Client sign a data processing agreement.
Data is hosted on European servers. The Provider takes appropriate technical and organisational measures to protect Data against unauthorised access, loss or destruction.
10. Intellectual property
The source code of Rondo is open source and made available under the applicable licence on GitHub. The Rondo brand, logo and visual design of the website remain the property of the Provider.
11. Changes
The Provider reserves the right to amend these terms. Changes will be communicated to the Client by email at least 30 days before they take effect. If the Client does not agree with the changes, the Client has the right to terminate the Agreement as of the effective date of the new terms.
12. Applicable law and disputes
These terms and the Agreement are governed by Dutch law. Disputes will be submitted to the competent court in the district of Gelderland.
